Personally I would just open up dnn 3.2.2 in visual studio, add my module projects to the solution and fix them.
You will probably have a few compile errors because of incompatibilities at first and when you've fixed those, do some testing and fixing.

You could check the forums on asp.net for any posts on this topic, or go to support.dotnetnuke.com to review the changes between version 2 and 3 (but that's an awful job if you ask me).
