Catalook or other DNN module advanced configuration help needed

I’m asking here, ‘cause this is where all the geniuses hang out.  The catalook module seems to do about 80% of what I want, but I’m not sure…so I’m wondering if someone can make a recommendation.  Here is the needs of my client, you let me know if I’m missing a feature of catalook, or if you know  a module that will basically do this, I’ll also babble some of my thoughts at you I’m sure :->

We have a client, who owns MANY retail outlets.
Needs:
*Sell gift certificates on their website, that a customer can physically print and take to ant retail store for use.
*Each certificate must contain a verifiable unique code that the retail can enter into the  main website(under their login obviously), to confirm it is authentic.
*Each retailer needs to be able to mark the unique code as used/accepted and have their account on the website credited, so that the correct retail location gets paid for the services rendered.

I’m figuring I can sell products in catalook, that use unique serial numbers, then make those same unique serial numbers “coupon” codes for the retailers, the the retailer can buy a zero dollar product called “redeem” and enter the code from the certificate, thus removing it from the coupon pool,  and marking it as sold, also giving the coupon code a dollar amount, and I assume it would create a negative balance in thier catalook record.

The issues that I can think of.
1)    What if that coupon code was never sold from the serial number pool?
2)    How do I get a unique number into each coupon?  I think I can use a ?Code=XYZ on a page and just have it throw the number into a nicely layed out doc for printing..but then a person could just start throwing crap into that file left and right and run off a hundred of em…Although they could do it with a photocopier anyhow, and thus the need for number 1 again :->

Is there a module that already exists to handle all this, or some options in catalook to do it, or anyone wanna make it for me :->
Thanks
Josh
